1. Definitions

"Services" refers to all software development, AI solutions, consulting, and technology services provided by Superdot.

"Client" or "You" refers to the individual or entity using Superdot's services.

"Agreement" refers to these Terms of Service and any additional contracts or service agreements.

"Platform" refers to Superdot's websites, applications, and digital infrastructure.

2. Services Description

Superdot provides enterprise-grade technology solutions including:

  • Custom Software Development: Web applications, mobile apps, and enterprise systems built with world-class standards
  • AI & Machine Learning Solutions: Intelligent systems, automation, and data analytics
  • Technology Consulting: Architecture design, technical strategy, and implementation guidance
  • Maintenance & Support: Ongoing updates, monitoring, and technical assistance

3. Account & Access

Account Creation: You may need to create an account to access certain services. You are responsible for maintaining the confidentiality of your account credentials.

Security: You must notify us immediately of any unauthorized access or security breach. We implement industry-standard security measures but cannot guarantee absolute security.

Account Responsibility: You are responsible for all activities that occur under your account.

4. User Obligations

You agree to:

Provide accurate and complete information
Use services in compliance with applicable laws
Not engage in unauthorized access or hacking
Respect intellectual property rights
Not interfere with service operations
Not use services for illegal purposes
Maintain security of access credentials
Report security vulnerabilities responsibly

5. Intellectual Property

Superdot IP: All intellectual property rights in our platforms, frameworks, methodologies, and proprietary tools remain with Superdot.

Custom Work: Ownership of custom-developed software is determined by your specific service agreement. Typically, you own the final deliverables while we retain rights to underlying frameworks and reusable components.

Your Data: You retain all rights to your data, content, and intellectual property provided to us. We only use your data to provide services as agreed.

License Grant: You grant us a limited license to use your data solely for providing services and improving our offerings.

6. Payment Terms

Pricing & Invoicing

  • • Fees are specified in your service agreement or quote
  • • Invoices are issued monthly or per project milestones
  • • Payment is due within 30 days of invoice date
  • • Accepted payment methods: bank transfer, credit card, PayPal

Late Payments

  • • Late payments incur 1.5% monthly interest
  • • Services may be suspended after 60 days of non-payment
  • • You are responsible for all collection costs

Refunds

All fees are non-refundable unless explicitly stated in your service agreement or required by law.

Disclaimers

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

9. Limitation of Liability

To the maximum extent permitted by law:

Superdot shall not be liable for:

  • • Indirect, incidental, special, or consequential damages
  • • Loss of profits, revenue, data, or business opportunities
  • • Damages arising from third-party services or integrations
  • • Damages caused by your misuse of services

Maximum Liability: Our total liability is limited to the fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Superdot harmless from any claims, damages, or expenses arising from: (a) your use of services, (b) your violation of these terms, (c) your violation of any rights of third parties, or (d) any content you provide. We reserve the right to assume exclusive defense of any matter subject to indemnification.

11. Termination

By You

You may terminate with 30 days written notice. Fees for services rendered remain due.

By Us

We may terminate with 30 days notice or immediately for breach, non-payment, or illegal activity.

Upon Termination

  • • Access to services will be revoked
  • • Outstanding fees become immediately due
  • • We will provide data export as specified in your agreement
  • • Confidentiality obligations continue

12. Dispute Resolution

Governing Law: These terms are governed by the laws of Mexico, without regard to conflict of law principles.

Dispute Process:

  1. Good faith negotiation (30 days)
  2. Mediation (optional, 60 days)
  3. Binding arbitration in Villahermosa, Tabasco

Jurisdiction: Courts of Villahermosa, Tabasco, Mexico have exclusive jurisdiction.
